Terms of Use

1. Acceptance

By accessing or using the Sync evo platform, you agree to be bound by these Terms of Use. If you do not agree, you must not use the platform. These terms apply to all users, including invited team members.

2. Access & Eligibility

Sync evo is an invite-only B2B platform. Access is granted at the discretion of First Technology Western Cape (Pty) Ltd. You must be a registered business or act on behalf of a registered business to use the platform. Accounts may not be shared or transferred.

3. Account Responsibilities

You are responsible for maintaining the security of your account credentials. You must notify us immediately of any unauthorised access. You are responsible for all activity that occurs under your account, including actions taken by team members you invite.

4. Quotes & Orders

Quotes generated on the platform are indicative and subject to stock availability and pricing changes. Placing an order through the platform constitutes a purchase intent and will be actioned by your First Technology account manager. Final pricing and availability are confirmed at the time of order fulfilment.

5. Pricing & Margins

Pricing displayed on the platform is calculated based on margins configured specifically for your account by First Technology. Prices are exclusive of VAT unless stated otherwise. First Technology reserves the right to adjust pricing and margins at any time.

6. Acceptable Use

You agree not to misuse the platform, including but not limited to: attempting to access accounts or data that do not belong to you, using the platform for any unlawful purpose, scraping or reverse-engineering the platform, or introducing malicious code.

7. Intellectual Property

All content, branding, and software on the Sync evo platform is the property of First Technology Western Cape (Pty) Ltd or its licensors. You may not reproduce, distribute, or create derivative works without express written permission.

8. Termination

We reserve the right to suspend or terminate your access to the platform at any time, with or without notice, if we believe you have violated these terms or for any other reason at our discretion.

9. Limitation of Liability

To the extent permitted by law, First Technology Western Cape (Pty) Ltd shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform. The platform is provided "as is" without warranties of any kind.

10. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the courts of South Africa.

11. AI Assistant

SyncEvo includes an AI-powered sales assistant ("the Assistant") available to all logged-in users. By using the Assistant, you agree to the following terms:

• The Assistant is provided as a convenience tool to help with product discovery, stock enquiries, quote generation, and order placement. It does not replace your First Technology account manager.
• Actions initiated through the Assistant — including generating quotes and placing orders — are binding in the same manner as actions taken manually on the platform.
• You are responsible for reviewing all information — including product details, quantities, and pricing — before confirming any quote or order, regardless of whether it was initiated through the Assistant. First Technology accepts no liability for errors resulting from unreviewed AI output. Any such errors are the sole responsibility of the account holder.
• The Assistant has access to your account data, pricing, and transaction history to function effectively. This access is limited to your account only.
• The Assistant cannot delete records, modify account settings, or manage team members. These guardrails are enforced at the system level.
• AI-generated responses are not guaranteed to be accurate. First Technology accepts no liability for decisions made solely on the basis of AI output.
• Conversation data is not retained beyond your active session. We do not use conversation data to train AI models.
• Misuse of the Assistant — including attempting to manipulate it into performing unauthorised actions — is a violation of these terms and may result in account suspension.
